Terms & Conditions
Last updated: September 10, 2026
1. Agreement and Contracting Entity
Effective Date: September 10, 2026.
These Terms & Conditions (the “Terms”) are a binding agreement between you and LYNEports. The LYNEports platform and Service are operated and provided by LYNE TECHNOLOGIES S.R.L., with its registered address at Strada Dealul Spirei 13, 200352 Craiova, Romania. LYNE TECHNOLOGIES S.R.L. is the operator and contracting entity for the platform and Service unless expressly stated otherwise.
Unless another LYNEports affiliate is expressly identified for a particular transaction, LYNE TECHNOLOGIES S.R.L. is the contracting entity. Where an affiliated LYNEports entity is expressly identified as the seller or contracting entity in the relevant order form, invoice, subscription agreement, checkout or other transaction document, that affiliate is the seller and contracting entity for that transaction and is responsible for the corresponding sale, billing, invoicing, tax, payment, cancellation and refund obligations. References in these Terms to fees, pricing, billing, renewals, cancellation and refunds apply to the entity that sells for the transaction concerned.
“LYNEports,” the “Company,” “we,” “us,” and “our” mean LYNE TECHNOLOGIES S.R.L. and, where applicable to the relevant transaction or Service, the applicable affiliated LYNEports entity. These Terms govern your access to and use of the LYNEports websites, web platform, software, applications, AirWorthy™ assessments, training programs, and related products and services (collectively, the “Service”).
By accessing or using the Service, creating an account, or completing a purchase, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Service.
2. Definitions
- “Customer Content” means original materials that you upload, submit, create, transmit, or otherwise make available through the Service, such as project files, drawings, documents, images, models, and parameters that you bring into the platform.
- “Personal Data” means information relating to an identified or identifiable natural person, processed as described in our Privacy Policy.
- “Usage and Telemetry Data” means information generated by the operation of the Service, including logs, interactions, feature usage, performance data, and system telemetry.
- “Derived Data” means information created by LYNEports through processing, transforming, or analyzing data within the Service, including analytical results, statistical information, and generalized learnings.
- “Aggregated and De-identified Data” means data that has been combined, anonymized, or otherwise processed so that it no longer identifies you or any individual.
- “Feedback” means suggestions, ideas, improvement requests, or other input about the Service that you provide to LYNEports.
- “Order Form” means a written ordering document or agreement executed between you and LYNEports (including an Enterprise Agreement, NDA, DPA, or SLA).
- “Outputs” means results generated by or through the Service, including assessments, scores, simulations, visualizations, reports, and AI-assisted analysis.
3. Eligibility and Accounts
The Service is intended for professional use and is not directed to children. You must be at least 18 years of age (or the applicable age of majority) and able to form a binding contract to use the Service.
You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Accounts and credentials are personal to the named user and may not be shared. Notify us promptly at contact@lyneports.com of any unauthorized use of your account.
4. Service and License
Subject to these Terms and payment of applicable fees, LYNEports grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable subscription or access period, for the uses permitted by your plan. This is a right to access a service as it evolves; no ownership of, or other rights in, LYNEports technology are transferred to you.
5. Subscription Plans and Permitted Use
Explorer
The Explorer plan licenses one named individual user. Explorer access is for the named licensed user only and may not be shared, pooled, or rotated among individuals. Explorer is offered with monthly or annual billing, and the permitted use depends on the billing option:
- Monthly Explorer (non-commercial use): permits learning, research, personal projects, and other non-commercial evaluation, assessment, and analysis. It does not permit use for paid client work, commercial services, or the preparation of commercial tenders and proposals.
- Annual Explorer (individual professional use): permits the uses LYNEports chooses to enable for the plan, including individual professional and commercial use, internal assessment and analysis, learning, presentations and demonstrations, and preparation of tenders and proposals.
Features, allowances, and project limits differ between Monthly and Annual Explorer as described on the Pricing page at the time of purchase. Commercial organizational deployment, multi-user access, or broader client or program use may require Enterprise licensing.
Enterprise
Enterprise rights, allowances, user counts, project limits, support commitments, and other commercial terms may be governed by an applicable Order Form or Enterprise Agreement. Where no such document applies, these Terms govern Enterprise use.
6. Trials
LYNEports may offer trial, evaluation, beta, or promotional access. Trial access may be limited in features, duration, or usage; may be modified, restricted, or terminated by LYNEports at any time; and carries no guarantee of continued availability. Data associated with trial access may be deleted after the trial ends.
7. Customer Data, Content and Platform Data
The Service involves several categories of data, treated as follows: Customer Content; Personal Data; Usage and Telemetry Data; Derived Data; Aggregated and De-identified Data; and Feedback (each as defined above).
Your ownership of Customer Content
You retain all intellectual property rights you already hold in original materials you upload to the Service. Nothing in these Terms transfers ownership of your original Customer Content to LYNEports.
License to LYNEports
By uploading, submitting, creating, transmitting, processing, or otherwise making any Customer Content available through the Service, you grant LYNEports the broadest license permitted by applicable law to host, copy, reproduce, store, retain, cache, transmit, process, analyze, index, transform, translate, derive information from, create Derived Data from, aggregate, de-identify, use, reproduce derived outputs from, develop statistical information from, and otherwise use Customer Content to: improve LYNEports products and services; test and evaluate algorithms; develop, train, fine-tune, validate, evaluate, and improve machine-learning and artificial-intelligence models, systems, and related technologies; improve existing functionality; develop new functionality; conduct security and fraud analysis; conduct analytics and research; and operate and improve the LYNEports platform.
This license is worldwide, non-exclusive, and royalty-free; sublicensable to LYNEports’ service providers and technology providers where necessary to provide or improve the Service; and transferable in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar corporate transaction. To the extent a right granted in this section can legally survive account closure or termination, it survives termination.
What LYNEports owns
LYNEports owns: LYNEports technology; platform-generated metadata; usage analytics; system telemetry; methodologies; algorithms; platform improvements; generalized learnings; Derived Data created by LYNEports, to the extent legally permissible; Aggregated and De-identified Data; statistical data; model improvements; and learned parameters, weights, configurations, and similar improvements created through the operation, development, or training of LYNEports technology, subject to applicable law.
Retention
LYNEports may retain and continue using Aggregated and De-identified Data after termination, to the maximum extent permitted by applicable law. Deletion of an account does not necessarily require deletion of data that LYNEports is legally entitled or required to retain, including backups, security records, transaction records, legal records, aggregated information, de-identified information, derived information, and information retained for the establishment, exercise, or defense of legal claims.
8. Artificial Intelligence and Service Improvement
Your use of the Service may contribute data, interactions, prompts, configurations, corrections, usage patterns, Feedback, analytical activity, and other information to the development, evaluation, training, fine-tuning, and improvement of LYNEports’ artificial-intelligence, machine-learning, analytical, and computational systems, to the extent permitted by applicable law.
LYNEports may use aggregated, de-identified, transformed, and derived data for these purposes. Where Personal Data is involved, its processing remains subject to our Privacy Policy and applicable data-protection law.
An executed Enterprise Order Form or other written agreement may impose different data-use restrictions where LYNEports expressly agrees to them; absent such an agreement, this section applies.
9. LYNEports Intellectual Property
LYNEports owns or licenses all right, title, and interest in and to the Service and LYNEports technology, including: the platform; source and object code; software; interfaces; workflows; methodologies; algorithms; databases; visualizations; designs; scoring methodologies; assessment logic; documentation; training materials; reports and report templates; trademarks; proprietary data structures; AI systems; improvements; updates; and derivative platform technology.
You receive only the limited right to use the Service described in Section 4 during the applicable subscription or access period. No ownership rights in LYNEports technology are transferred to you under these Terms.
10. Acceptable Use and Restrictions
You may not, and may not permit or assist anyone else to:
- reverse engineer, decompile, or disassemble any part of the Service, except to the extent this restriction is prohibited by applicable law;
- scrape, crawl, or use automated means to extract data, outputs, or content from the Service;
- copy, resell, rent, lease, sublicense, or otherwise commercialize the Service or access to it;
- share, pool, or rotate accounts or credentials among individuals;
- use the Service for benchmarking for competitive purposes, or publish benchmarks without our written consent;
- build, train, or improve a competing product, model, or service using the Service, its screens, outputs, documentation, datasets, or functionality, without LYNEports’ written permission;
- extract or reconstruct datasets from the Service;
- bypass, defeat, or circumvent usage limits, security measures, or technical restrictions;
- use the Service in violation of applicable law, third-party rights, or export-control or sanctions requirements;
- upload malicious code or interfere with the operation or integrity of the Service.
11. Third-Party Services and Data
The Service may integrate or rely on third-party maps, APIs, aviation information, geographic information, aircraft information, weather information, satellite information, regulatory information, infrastructure information, AI providers, databases, and services. LYNEports does not control third-party information and does not guarantee its continued availability, completeness, timeliness, or accuracy. Third-party providers may modify or withdraw information or services at any time. Changes to, or loss of, third-party information or services do not create a right to damages or a refund, except where required by applicable law.
Aircraft Library
LYNEports retains unrestricted discretion to modify, replace, suspend, or remove any aircraft model or related information from the Service for licensing, legal, manufacturer-request, quality, technical, commercial, or operational reasons. The availability of any particular aircraft model is not guaranteed, and no refund is due solely because a model becomes unavailable, except where mandatory law requires otherwise.
12. Aviation, Planning, Engineering and Regulatory Disclaimer
LYNEports provides planning, analysis, visualization, and decision-support technology.
NO LYNEPORTS SCORE, ASSESSMENT, SIMULATION, RECOMMENDATION, READINESS CLASSIFICATION, REPORT, OR OTHER OUTPUT CONSTITUTES APPROVAL, AUTHORIZATION, OR CERTIFICATION BY ANY AVIATION, PLANNING, SAFETY, GOVERNMENTAL, OR REGULATORY AUTHORITY.
No result of the Service, including any AirWorthy™ assessment, score, site assessment, simulation, visualization, obstacle assessment, airspace assessment, wind assessment, operations analysis, aircraft-path analysis, utilities assessment, emergency or fire assessment, recommendation, report, AI output, or readiness classification, constitutes or should be construed as: regulatory approval; aviation authority approval; aerodrome, vertiport, or heliport approval; planning permission; certification of any kind; engineering or structural certification; airworthiness approval; safety approval; operational authorization; airspace authorization; legal advice; engineering advice; architectural approval; surveying; official aeronautical information; guaranteed compliance with any law, standard, or regulation; or confirmation that any aviation operation is safe, lawful, or technically feasible.
You remain responsible for independent professional review, site surveys, engineering studies, legal assessment, regulatory consultation, and obtaining all required approvals before making decisions or commencing any activity based on the Service.
13. AI and Other Analytical Outputs
The Service produces different categories of Outputs, including deterministic calculations, user-input-based calculations, third-party information, modeled information, simulations, and AI-assisted analysis. The reliability and intended use of an Output depend on the applicable methodology, input data, sources, assumptions, and module-specific limitations. All Outputs are decision-support information unless LYNEports expressly states otherwise in a signed agreement.
AI-assisted Outputs
AI-assisted Outputs may be inaccurate, incomplete, outdated, inconsistent, or probabilistic; may be based on incomplete information; and may be affected by third-party sources and by your inputs. You must independently validate material Outputs before relying on them. AI Outputs must not be represented as guaranteed, authoritative, or official. LYNEports does not guarantee that an AI Output will be repeatable or identical when generated again.
14. Training Program
Purchases of LYNEports training programs (including the Professional Certificate) grant one named participant access to the applicable training materials for twelve (12) months from the date of purchase, unless a different access period is expressly stated at the time of purchase. Certification requires completion of the then-current training modules and assessments to LYNEports’ stated requirements.
- Training access, materials, accounts, and assessments are personal to the enrolled participant and may not be shared, recorded, copied, downloaded (unless a download function is provided), distributed, resold, or used to create derivative training or competing programs. Assessment and exam content may not be reproduced or shared.
- LYNEports may update, revise, replace, or retire training materials and modules; participants complete the then-current modules. Extensions of access are at LYNEports’ discretion.
- Training fees are non-refundable except where mandatory law requires otherwise, including where a participant does not complete the training.
Certification signifies completion of LYNEports’ training requirements only. It does not constitute professional licensure, an engineering qualification, regulatory authorization, aviation authority certification, a guarantee of professional competency, or authorization to approve aviation infrastructure.
15. Fees, Pricing, Billing and Renewals
You agree to pay the fees applicable to your purchases and subscriptions. Unless stated otherwise, fees are exclusive of taxes, which are your responsibility where applicable.
LYNEports may: introduce new fees; change subscription pricing; change plan structures; change included features; change usage limits and allowances; discontinue promotional pricing; change renewal pricing; and introduce paid add-ons.
For recurring subscriptions, updated pricing applies from the next applicable renewal or billing period, unless you affirmatively accept an earlier change or applicable law permits otherwise. LYNEports may change pricing with immediate effect for new customers, new purchases, additional products, add-ons, upgrades, and separately ordered services. Continued use or renewal after an applicable pricing change constitutes acceptance of that change, where permitted by law. No pricing is permanent unless LYNEports expressly commits to it in writing.
Subscriptions renew automatically for successive periods unless cancelled before renewal. Cancellation stops future renewals; it does not entitle you to a refund of amounts already paid, except as described in Section 16.
16. Refunds and Cancellation
Except where expressly required by applicable law, expressly stated by LYNEports in writing, or provided in an applicable Order Form, all fees and payments are final and non-refundable. Cancellation of a subscription affects future renewals only and does not entitle you to a refund of amounts already paid.
Without limiting the foregoing, and to the maximum extent permitted by applicable law, no refund or credit is due for: unused subscription periods; partially used subscriptions; non-use of the Service; modification of a particular feature; unavailability of an aircraft model or third-party dataset; Outputs not producing a desired commercial or regulatory result; failure to complete a training program; or periods of account suspension caused by your breach. Credits for unused time are provided only where LYNEports expressly chooses to provide them.
Any statutory rights that cannot legally be excluded, including any non-waivable consumer withdrawal or cancellation rights under applicable law, remain unaffected by this section.
17. Service Availability and Maintenance
LYNEports does not guarantee any particular level of availability or uptime unless committed in a separately signed SLA. LYNEports may perform scheduled and unscheduled maintenance, emergency work, deployments, updates, migrations, infrastructure changes, security responses, and patches, which may temporarily interrupt the Service. To the maximum extent permitted by applicable law, no liability arises from outages or interruptions of the Service.
18. Platform Changes and Updates
The Service evolves. LYNEports may add, remove, modify, or rename features; redesign interfaces; modify workflows and algorithms; change data providers; modify output formats; change limits; and discontinue features, integrations, or functionality. You purchase access to the Service as it evolves, not an irrevocable entitlement to every feature that existed on the purchase date, except where a signed Enterprise agreement expressly provides otherwise.
19. Suspension and Termination
LYNEports may suspend access immediately and without advance notice where it reasonably believes there is: a breach of these Terms; a security risk; fraud; abuse; unlawful activity; sanctions risk; non-payment; credential sharing; excessive or abusive usage; intellectual-property infringement; attempted circumvention of technical or usage restrictions; a threat to LYNEports, the Service, or another user; or conduct that could expose LYNEports to liability. Where reasonably practicable and lawful, LYNEports will notify you of a suspension and, for remediable issues, give paying customers a reasonable opportunity to remedy before termination.
LYNEports may also discontinue accounts or the Service generally. Where legally permitted, termination by you does not entitle you to a refund of prepaid amounts.
The following survive termination: intellectual-property ownership; data rights under Section 7 (including aggregated and de-identified data rights); AI and model-development rights, where legally permissible; confidentiality; payment obligations; indemnification; disclaimers; limitations of liability; and dispute-resolution provisions.
20. Confidentiality
Information you submit through the Service is not automatically deemed non-confidential. Customer confidential information remains subject to any applicable NDA, Enterprise Agreement, or Order Form between you and LYNEports.
Confidentiality restrictions do not prevent LYNEports from using: information independently developed by LYNEports; information lawfully received from third parties; information that is or becomes publicly available through no breach by LYNEports; generalized skills and know-how; Aggregated and De-identified Data; appropriately de-identified information; system telemetry; and non-customer-identifying analytical learnings.
Order of precedence: where an executed Order Form, Enterprise Agreement, NDA, DPA, or SLA expressly conflicts with these Terms, the specifically negotiated document controls, but only with respect to the subject matter of that conflict. Otherwise, these Terms govern.
21. Indemnification
You will defend, indemnify, and hold harmless LYNEports and its affiliates, directors, officers, employees, contractors, agents, licensors, and providers from and against third-party claims, and resulting damages, settlements, costs, and reasonable legal fees, arising from: your Customer Content; your misuse of the Service; your violation of law; your infringement of third-party rights; your violation of these Terms; unauthorized reliance on Outputs; services or advice you deliver to others using the Service; representations you make about LYNEports or the Service; and your projects or operations.
22. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYNEPORTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, COMPATIBILITY, COMPLETENESS, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, AND ANY WARRANTY OF PARTICULAR COMMERCIAL OR REGULATORY OUTCOMES.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYNEPORTS AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR: INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, OPPORTUNITIES, ANTICIPATED SAVINGS, GOODWILL, OR REPUTATION; BUSINESS INTERRUPTION; LOSS OR CORRUPTION OF DATA; REPLACEMENT-SERVICE COSTS; DECISIONS MADE BASED ON LYNEPORTS OUTPUTS, INCLUDING REGULATORY, SITE-SELECTION, INVESTMENT, PLANNING, ENGINEERING, OR OPERATIONAL DECISIONS; THIRD-PARTY CLAIMS ARISING FROM YOUR USE; DELAYS; THIRD-PARTY DATA; AI OUTPUTS; OR SERVICE INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF LYNEPORTS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO LYNEPORTS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR, WHERE YOU HAVE PAID NO FEES, ONE HUNDRED EUROS (EUR 100). THIS CAP APPLIES REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
These limitations are fundamental elements of the bargain between you and LYNEports, and the pricing of the Service reflects this allocation of risk. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
24. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of Romania, without regard to its conflict-of-laws rules.
Informal resolution first
Before starting formal proceedings, you agree to contact us at contact@lyneports.com with a description of the dispute and to work with us in good faith for at least thirty (30) days to resolve it informally.
Courts
Any dispute that is not resolved informally is subject to the jurisdiction of the competent courts of Romania. Where the applicable rules allow the parties to choose the venue, the competent courts in Craiova, Romania will hear the dispute.
Consumers
If you use the Service as a consumer, nothing in this section takes away the protection of any mandatory law of the country where you live, and you may bring or defend proceedings in the courts of that country where that law gives you the right to do so. Mandatory rights that cannot legally be waived, including any non-waivable rights of consumers in their country of residence, remain unaffected by this section.
25. Changes to Terms
LYNEports may modify these Terms. Material changes may be communicated through platform notice, email, account notification, or posting of the updated Terms, and take effect on the stated effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms, where permitted by law. Non-material, administrative, legal, technical, or clarifying changes may take effect upon posting.
26. General
Feedback
LYNEports may use Feedback without restriction, attribution, confidentiality obligation, or compensation, and may own and freely exploit improvements developed from Feedback.
Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Detailed cookie practices and consent choices are handled through our cookie consent interface.
Entire agreement
These Terms, together with any executed Order Form, Enterprise Agreement, NDA, DPA, or SLA (subject to the order of precedence in Section 20) and the Privacy Policy, are the entire agreement between you and LYNEports regarding the Service, and supersede prior agreements on the same subject matter.
Assignment
You may not assign these Terms without our written consent. LYNEports may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar corporate transaction.
Severability; waiver; force majeure
If a provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect. A failure to enforce a provision is not a waiver. LYNEports is not liable for delay or failure caused by events beyond its reasonable control.
